TERMS OF SERVICE

1. Introduction

QWICK is a venture operated under Misfits Visionary Creative Agency, a business registered in Malaysia under registration number 202503083989 (NS0307698-H).

These Platform Terms of Service govern your access to and use of the QWICK website, web application, services, features, content, technology and related systems collectively referred to as the “Platform”.

In these Terms, “QWICK”, “we”, “us” and “our” refer to Misfits Visionary Creative Agency in connection with its operation of QWICK. “You” and “your” refer to the individual or organisation accessing or using the Platform.

BY REGISTERING FOR AN ACCOUNT, CLICKING TO ACCEPT THESE TERMS, CREATING OR JOINING A CAMPAIGN, SUBMITTING CONTENT, FUNDING A CAMPAIGN, REQUESTING A WITHDRAWAL OR OTHERWISE USING THE PLATFORM, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO THESE TERMS.

IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.

2. About QWICK

QWICK is a creator-marketing and content-rewards Platform that enables Brands to create and fund Campaigns and enables Creators to produce, publish, share or submit Content.

A Campaign may offer:

  • a performance-based Reward;
  • an optional Flat Fee Bonus; or
  • both.

Performance-based Rewards may depend on verified views, engagement, clicks, conversions, sales or other Qualifying Performance.

A Flat Fee Bonus may be offered for an approved Content deliverable, publication by a specified deadline, attendance at an activation, completion of an additional task or another stated requirement.

Unless expressly stated otherwise, QWICK provides the technology and administration through which users create, join, fund and manage Campaigns.

QWICK is not the employer, employee, partner, agent, fiduciary, financial adviser or legal representative of any user. Nothing in these Terms creates an employment relationship, partnership, joint venture or agency relationship.

QWICK does not guarantee approval of an account, Campaign or Submission, acceptance into any Campaign, availability of a Campaign, minimum Campaign results or that any Creator will earn a particular amount.

3. Eligibility

You must be at least eighteen (18) years old to register for or use QWICK.

QWICK may request proof of age or identity and may reject, restrict or terminate an account if satisfactory verification is not provided.

When you use QWICK for a company, partnership, agency or organisation, you represent that you have authority to accept these Terms on its behalf.

The Platform may not be available in every jurisdiction. You are responsible for ensuring that your use of QWICK is lawful where you are located.

4. Accounts and Verification

You must provide complete, accurate and current information and promptly update that information when it changes.

You must not impersonate another person, provide misleading information, conceal your identity, use unauthorised payment information or create an account for a fraudulent purpose.

You are responsible for protecting your credentials and for activity carried out through your account.

You must notify QWICK promptly at hello@qwick.asia if you suspect unauthorised access.

You must not sell, lease, transfer or provide control of your account to another person without QWICK’s prior written approval.

QWICK may require identity, age, business, social-media, tax, banking, payment or other verification. Completing verification does not guarantee approval of an account, Campaign, Submission, Reward, Flat Fee Bonus or withdrawal.

5. Acceptable Use

You must not use QWICK for unlawful, fraudulent, deceptive, abusive, harmful or unauthorised activity.

Without limiting that restriction, you must not:

  • manipulate views, engagement, clicks, conversions, sales or other results;
  • use bots, automated traffic, click farms, fake accounts or purchased engagement;
  • submit Content you do not have the right to use;
  • make false or misleading statements about a Brand, product or service;
  • conceal a paid, rewarded, gifted or sponsored relationship;
  • interfere with Platform security or operation;
  • scrape or harvest Platform data without authorisation;
  • circumvent Campaign limits, verification procedures, calculations, fees or restrictions;
  • upload malware or harmful technology;
  • harass, threaten or exploit another user; or
  • promote prohibited Campaigns, products, services or activities.

6. Campaign Creation and Administration

Every Campaign must provide sufficient information about:

  • Creator eligibility;
  • Content requirements;
  • deadlines;
  • advertising disclosures;
  • qualifying platforms and territories;
  • Reward rates and Reward Pool limits;
  • whether a Flat Fee Bonus is offered;
  • any Flat Fee Bonus amount, requirement and availability limit;
  • performance measurement;
  • Content usage rights; and
  • Campaign closure conditions.

QWICK may approve, reject, request changes to, delay, pause, restrict, unpublish, close or cancel a Campaign.

Submitting or funding a Campaign does not require QWICK to publish it.

A Brand must not materially change Campaign terms after Creators begin participating unless the change is necessary, clearly communicated and applied fairly.

A Campaign may close on its stated end date or earlier if the Reward Pool, Flat Fee Bonus allocation or Campaign Cap is reached, the maximum number of participants or Submissions is reached, the Campaign is suspended or cancelled, or another stated closure condition occurs.

7. Creator Participation and Submissions

Creators must review and understand all Campaign requirements before joining.

Joining, applying to or being accepted into a Campaign does not reserve:

  • any part of the Reward Pool;
  • a Flat Fee Bonus;
  • the Maximum Potential Reward;
  • the Maximum Total Potential Earnings; or
  • any other payment.

QWICK or the Brand may approve, reject or return Content for revision.

A Submission may be rejected where it is late, incomplete, inaccurate, misleading, of insufficient quality, improperly disclosed, technically unverifiable or otherwise inconsistent with the Campaign.

Content approval does not necessarily confirm eligibility for a performance-based Reward.

8. Interval-Based Performance Data

Views, engagement, clicks, conversions and other Campaign information displayed on QWICK are not necessarily shown in real time.

QWICK may retrieve, calculate or refresh performance data at scheduled or variable intervals. Update timing may depend on Third-Party Platforms, technical availability, processing schedules and Campaign settings.

Performance shown on QWICK may temporarily differ from data shown on the original Third-Party Platform.

Unless marked as approved or final, displayed performance figures and Estimated Rewards are provisional and provided for progress tracking only.

At Campaign closure or another verification point, QWICK may review delayed data, duplicate activity, artificial engagement, attribution errors, removed Content, refunded transactions and Campaign compliance.

Final verified data will govern the final Reward calculation.

9. Performance-Based Rewards and Reward Pools

Participation does not automatically entitle a Creator to a Reward.

A Reward becomes eligible for approval only after the Creator satisfies the Campaign requirements, performance is verified and sufficient funds remain in the Reward Pool.

A Reward Pool may be shared among multiple Creators. Rewards allocated to one Creator reduce the amount available to others.

Certain Campaigns may operate competitively or on a gamified basis. Creators may compete for a limited Reward Pool based on performance, timing, rankings, milestones or other published rules.

Reaching a displayed performance target does not guarantee the corresponding Reward if the Reward Pool has already been fully allocated or exhausted.

A Maximum Potential Reward is an upper limit only. It is not a guaranteed payment or reserved allocation.

Estimated Rewards may increase, decrease or be removed before final approval.

A Campaign may stop accepting new participants, Submissions, performance or additional Reward eligibility once the Reward Pool is fully allocated or exhausted.

Where several Creators qualify near the point of exhaustion, QWICK will apply the allocation method stated in the Campaign.

10. Optional Flat Fee Bonus

10.1 Optional Campaign feature

A Flat Fee Bonus is optional and will apply only where it is expressly displayed in the Campaign.

A Campaign that does not expressly state that a Flat Fee Bonus is available does not include one.

The availability of a Flat Fee Bonus does not remove or replace any performance-based Reward unless the Campaign expressly states otherwise.

10.2 Bonus requirements

The Campaign must state:

  • the fixed bonus amount;
  • the required task or deliverable;
  • the relevant deadline;
  • whether Content approval is required;
  • the total number or value of bonuses available;
  • whether the bonus is funded separately from the Reward Pool; and
  • whether the bonus may be earned together with a performance-based Reward.

10.3 First-approved, first-served basis

Where a limited number or value of Flat Fee Bonuses is available, bonuses are awarded on a first-approved, first-served basis.

Priority is determined by the time QWICK approves the eligible Submission or deliverable, not by:

  • the time the Creator joined the Campaign;
  • the time the Creator started work;
  • the time Content was first published; or
  • the time the Submission was initially uploaded.

A Creator who submits earlier is not guaranteed priority if another Creator’s eligible Submission is approved first.

10.4 No reservation or guarantee

Joining a Campaign, starting work, publishing Content or submitting a deliverable does not reserve or guarantee a Flat Fee Bonus.

A Flat Fee Bonus becomes eligible for approval only after:

  • the stated requirement is completed;
  • the Submission or deliverable is approved;
  • the deadline is met;
  • the Creator remains eligible;
  • bonus availability remains at the time of approval; and
  • required verification is completed.

If the Flat Fee Bonus allocation is fully awarded before a Creator’s Submission is approved, that Creator will not receive the bonus even if the Submission is later approved, unless the Campaign expressly provides otherwise.

10.4 Funding

Where a Brand elects to include a Flat Fee Bonus in a Campaign, a maximum of ten percent (10%) of the total Campaign fund allocation shall be reserved for the payment of Flat Fee Bonuses.

The remaining ninety per cent (90%) of the total Campaign fund allocation shall form the performance-based Reward Pool.

The Campaign page must clearly display:

  • the total Campaign fund allocation;
  • the amount allocated to the performance-based Reward Pool;
  • the amount allocated to Flat Fee Bonuses;
  • the applicable Flat Fee Bonus payable to each eligible Creator; and
  • the Maximum Total Potential Earnings available to a Creator.

10.5 Rejection and reversal

A Flat Fee Bonus may be rejected, withheld, adjusted or reversed where:

  • the required task was not completed;
  • the Submission was not approved;
  • the deadline was missed;
  • the bonus allocation was exhausted before approval;
  • false or misleading evidence was provided;
  • Campaign, advertising, intellectual-property or Community rules were breached;
  • fraud, duplication or manipulation was detected;
  • a calculation or system error occurred; or
  • the underlying Brand payment was reversed or unauthorised.

11. Campaign Finalisation

11.1 Verification of Submissions

QWICK will generally endeavour to verify a complete Campaign submission within fourteen (14) Business Days after receiving all information, evidence and supporting materials required from the Creator, Brand or any relevant third party.

The verification period will only begin once QWICK determines that the submission is complete.

11.2 Extension of Verification Period

QWICK may extend, suspend or restart the verification period where reasonably necessary, including where:

  • the Creator’s information or supporting evidence is incomplete, inaccurate or unclear;
  • confirmation or information required from the Brand has not been received;
  • performance, engagement, conversion or transaction data is delayed or unavailable;
  • QWICK reasonably suspects fraud, manipulation, artificial engagement, prohibited activity or a breach of these Terms or the applicable Campaign Rules;
  • a sale, transaction or conversion remains subject to cancellation, refund, return, reversal, dispute or chargeback;
  • information or data from a third-party platform, payment provider or service provider is delayed, unavailable or requires further review; or
  • QWICK reasonably requires additional information, clarification or evidence to determine eligibility for a Reward.

11.3 Extended or Campaign-Specific Verification

For submissions requiring additional investigation or verification, QWICK may extend the review period to a period ordinarily not exceeding thirty (30) calendar days from the date the complete submission was received.

A longer verification period may apply where:

  • the applicable Campaign Rules expressly provide for a longer verification period;
  • the Campaign depends on a conversion, return, refund, cancellation or chargeback-confirmation period;
  • QWICK is awaiting information or confirmation from the Brand, Creator or a third-party platform or service provider;
  • suspected fraud, manipulation or prohibited activity requires further investigation; or
  • circumstances outside QWICK’s reasonable control prevent QWICK from completing the verification within the ordinary review period.

11.4 Verification Outcome

Following verification, QWICK may approve, partially approve, reject, withhold or request further information regarding a submission or Reward, subject to these Terms and the applicable Campaign Rules.

Any verification timeframe displayed or communicated by QWICK is an estimate and does not guarantee that a submission or Reward will be approved within that timeframe.

A Reward will remain pending and will not be available for withdrawal until QWICK has completed its verification and marked the Reward as approved.

12. Payments and Withdrawals

12.1 Payment Policy

Campaign funding, Reward approval, Flat Fee Bonus approval, withdrawals, refunds, reversals, chargebacks and payment disputes shall be governed by the Payment, Payout, Refund and Dispute Policy.

12.2 Available Balance

A Creator may request a withdrawal only from the Creator’s Available Balance.

Amounts displayed as estimated, pending, under review, restricted, reversed or otherwise unavailable cannot be withdrawn.

The minimum amount required to submit a withdrawal request is RM30.00, calculated before the deduction of any applicable Withdrawal Fee.

12.3 Campaign Funding Methods

Brands may fund Campaigns using:

  • FPX Online Banking;
  • DuitNow QR; or
  • any other payment method made available by QWICK from time to time.

Campaign funding shall only be treated as successfully received after the relevant payment has been confirmed by QWICK or its appointed payment provider.

12.4 Payment Method

Creator payouts shall be made only to a verified bank account accepted by QWICK.

The Creator must be the lawful holder of, or be legally authorised to use, the bank account provided. QWICK may reject or suspend a payout where the account information is inaccurate, incomplete, inconsistent or cannot be verified.

12.5 Payout Processing Period

QWICK shall generally process a valid withdrawal request within fourteen (14) business days after receiving the complete withdrawal request and all required verification information.

The processing period may be extended where:

  • the Creator’s information is incomplete or inaccurate;
  • identity, bank-account or compliance verification is required;
  • fraud, manipulation or unauthorised activity is suspected;
  • the relevant Reward is subject to a refund, return, cancellation, reversal or chargeback;
  • QWICK is awaiting information from a Brand, bank, payment provider or third-party platform;
  • a technical, banking or payment-provider delay occurs; or
  • QWICK is required to conduct further review to comply with applicable law or protect the Platform and its Users.

12.6 Third-Party Payment Providers

QWICK may appoint banks, payment gateways or other third-party providers to collect Campaign funds, verify payments and process payouts.

Users may be required to comply with the terms, verification requirements and processing procedures of the relevant third-party provider.

QWICK shall not be responsible for delays or failures caused solely by a bank or third-party provider that are outside QWICK’s reasonable control.

12.7 Nature of Platform Balances

Any balance displayed through the Platform represents QWICK’s internal record of Campaign funds, pending amounts or approved earnings.

A QWICK balance:

  • is not a bank account, savings account or deposit;
  • does not earn interest;
  • cannot be transferred between Users;
  • cannot be used as a general-purpose payment method; and
  • may only be withdrawn, refunded, applied or otherwise dealt with in accordance with the applicable Campaign terms and QWICK Policies.

12.8 Payment Information and Taxes

Users are responsible for providing complete and accurate payment, banking, identification and tax information.

Users remain responsible for determining, declaring and paying their own income tax and other tax liabilities arising from Campaign payments, Rewards, Flat Fee Bonuses or other amounts received through QWICK.

13. Platform Fees

13.1 Applicable Fees

QWICK may charge Brand Fees, Creator Platform Fees, Withdrawal Fees, campaign-management fees, payment-processing fees or other charges expressly disclosed through the Platform.

The applicable fee and the basis on which it is calculated shall be displayed before the relevant Campaign, transaction or service is confirmed.

13.2 Brand Fee

QWICK shall charge the Brand a Brand Fee equivalent to ten per cent (10%) of the total Campaign funding amount.

Unless expressly stated otherwise, the Brand Fee shall be charged in addition to the Campaign fund allocation and shall not reduce the performance-based Reward Pool or Flat Fee Bonus allocation.

Campaign funds allocated for Creator Rewards are separate from the Brand Fee payable to QWICK.

13.3 Creator Platform Fee

QWICK shall deduct a Creator Platform Fee equivalent to five per cent (5%) of each approved Reward and Flat Fee Bonus earned by a Creator.

The Creator Platform Fee shall be deducted before the remaining amount is credited to the Creator’s Available Balance.

13.4 Withdrawal Fee

QWICK shall deduct a Withdrawal Fee equivalent to five per cent (5%) of the amount included in each withdrawal request.

The Withdrawal Fee shall be deducted from the requested withdrawal amount before the remaining amount is transferred to the Creator’s verified bank account.

The Platform shall display the applicable Withdrawal Fee and estimated net payout before the Creator confirms the withdrawal request.

13.5 Third-Party Charges

A bank, payment gateway or other third-party provider may impose additional transaction, transfer, conversion or processing charges.

Any third-party charge known to QWICK shall be disclosed where reasonably practicable. QWICK may deduct or pass through such charges only where this has been disclosed to the affected User.

13.6 Taxes

All QWICK fees and charges are exclusive of any sales and service tax, withholding tax or other tax, duty or governmental charge that QWICK is legally required to impose, collect, deduct or remit.

QWICK shall not charge Sales and Service Tax unless QWICK, Misfits Visionary Creative Agency or the relevant operating entity is registered or otherwise legally required to charge it.

Where a tax becomes applicable:

  • the applicable tax may be added to the relevant fee or transaction;
  • the amount and nature of the tax shall be disclosed before confirmation where reasonably practicable;
  • QWICK may deduct or withhold amounts where required by applicable law; and
  • the User shall remain responsible for any personal or business tax obligations not collected by QWICK.

Unless expressly stated otherwise, Rewards, Flat Fee Bonuses and other Creator earnings are stated before the deduction of the Creator Platform Fee, Withdrawal Fee and any applicable taxes or third-party charges.

14. Advertising Disclosures

Paid, rewarded, gifted, affiliate or commercially incentivised Content must clearly disclose the commercial relationship.

This applies to performance-based Rewards, Flat Fee Bonuses, free products, discounts, affiliate commissions and other material benefits.

Brands must not request concealed sponsorship or dishonest reviews. Creators must not present compensated Content as an independent unpaid opinion.

15. Intellectual Property

15.1 Ownership

Users retain ownership of their original Content unless ownership is transferred under a separate written agreement.

15.2 Licence to QWICK

By uploading Content, the User grants QWICK a non-exclusive, worldwide and royalty-free licence to host, store, reproduce, display, transmit, format and technically modify the Content as reasonably necessary to operate, administer and promote the Platform and the relevant Campaign.

15.3 Brand Usage Rights

The Brand’s usage rights must be stated on the applicable Campaign page. Any Campaign-specific usage rights shall take priority over the default licence below.

Unless the Campaign states otherwise, the Creator grants the Brand a non-exclusive, non-transferable and royalty-free licence to organically repost the approved Content on the Brand’s own social-media accounts and website for six (6) months from the end of the Campaign.

The Brand may make minor technical adjustments reasonably required for publication, including resizing, cropping or formatting, provided that the Content’s meaning is not materially altered.

15.4 Additional Usage Rights

The default Brand licence does not include:

  • paid advertising, boosting or media buying;
  • whitelisting or advertising through the Creator’s account;
  • material editing, adaptation or creation of derivative Content;
  • Exclusivity;
  • sublicensing or transfer to another party; or
  • use beyond the six-month licence period.

Any additional usage rights must be expressly stated in the Campaign or agreed separately in writing with the Creator.

15.5 Third-Party Materials

Users must obtain all necessary rights, licences, permissions and approvals for any music, footage, images, fonts, trademarks or other third-party materials included in their Content.

Content complaints and takedown requests shall be handled under the Intellectual Property and Content Takedown Policy.

16. Privacy

QWICK processes personal data in accordance with the Privacy Notice and Cookie and Tracking Notice.

QWICK may process information to administer Campaigns, verify performance, calculate Rewards and Flat Fee Bonuses, process payments, prevent fraud, resolve disputes and comply with legal obligations.

17. Cookie and Tracking Notice

QWICK may use cookies and similar technologies, including local storage, pixels, tags and device identifiers.

These technologies may support:

  • login, security and session management;
  • user preferences and Platform functionality;
  • analytics and error monitoring;
  • Campaign attribution, clicks and conversions; and
  • advertising measurement where introduced.

Information collected may include IP address, browser and device details, session identifiers, pages used, referral information, timestamps, Campaign activity and diagnostic information.

External providers may place or access technologies when providing hosting, analytics, payment, security or social-media services.

Where legally required, QWICK will request consent before using non-essential cookies.

18. Third-Party Services

QWICK may integrate with social-media platforms, payment providers, analytics systems and other external services.

QWICK does not control their independent terms, privacy practices, availability or metrics.

19. Platform Enforcement

QWICK may reject a registration or restrict, suspend, freeze, disable or terminate an account where QWICK reasonably believes that:

  • these Terms or another policy were breached;
  • false or misleading information was provided;
  • fraud, manipulation, abuse or unlawful conduct occurred;
  • verification was not completed;
  • the account creates legal, payment, safety, security or reputational risk; or
  • QWICK is required to act by law or a provider.

QWICK may reject or remove Content, reject or cancel Campaigns, prevent Campaign participation, hold or reverse Rewards and Flat Fee Bonuses, restrict withdrawals, request evidence, remove Platform access or prevent future registration.

20. Disclaimers and Liability

To the fullest extent permitted by law, QWICK’s total liability shall not exceed the amount of fees received by QWICK in connection with the specific Campaign or transaction giving rise to the claim.

This limitation does not affect any undisputed approved amount properly payable to a User.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

21. Indemnity

To the extent permitted by law, you agree to indemnify QWICK, Misfits Visionary Creative Agency and their partners, personnel and providers against claims, losses, liabilities and reasonable costs arising from your breach, Content, infringement, fraud, misleading conduct, Campaign claims or legal obligations.

22. Complaints and Appeals

Complaints may be submitted to hello@qwick.asia with the relevant account, Campaign or transaction details and supporting evidence.

Any appeal must be submitted within thirty (30) calendar days from the date of the relevant decision.

23. Changes to These Terms

QWICK may update these Terms to reflect changes to the Platform, business model, legal requirements, security practices or operations.

Material changes may be notified through the Platform or by email.

24. Governing Law

These Terms are governed by Malaysian law.

Before commencing formal proceedings, the parties agree to attempt in good faith to resolve the dispute through written communication for at least thirty (30) days, unless urgent relief is required.

25. General Provisions

If any provision is unenforceable, the remaining provisions will continue in effect.

Failure to exercise a right does not waive it.

You may not assign these Terms without QWICK’s consent.

QWICK may assign these Terms in connection with incorporation, restructuring, financing, investment, acquisition or transfer of the QWICK business.

The English version will prevail where translations are inconsistent, to the extent permitted by law.
